Carlin Gold is splitting itself in two. Under an arrangement agreement dated October 22, 2026, the Vancouver-based explorer plans to distribute its wholly-owned Carlin Gold Royalty Corporation ("Spinco") to shareholders — and before the deal closes, its US subsidiary will grant Spinco's US subsidiary a 5.0% net smelter returns royalty on the Cortez Summit gold property in Nevada's Cortez Gold District.
- The exchange: each Carlin Gold shareholder will receive half of one Spinco share plus one new Carlin Gold share for each share held at the effective time; outstanding options and warrants adjust to the same combined entitlement.
- What Spinco gets: the 5.0% NSR on Cortez Summit (granted by Carlin Gold US Inc. to Spinco US before closing), Carlin's interest in a 1.0% NSR on certain claims in the Mayo mining district of Yukon owned by Senoa Gold Corp., and a CDN$1,000,000 capital contribution from Carlin Gold.
- The vote: approval requires a special resolution of at least 66⅔% of votes cast at the annual general and special meeting on November 30, 2026. The board has unanimously recommended voting in favour. TSX Venture Exchange approval and Supreme Court of British Columbia approval are also required.
- Timing and trading: the effective time is anticipated in January 2027. Carlin Gold shares keep trading as CGD / CGDCF; Spinco will become a reporting issuer in British Columbia and Alberta, but its shares will not be listed on any exchange immediately after completion.
- Also in the release: Carlin has engaged New Era Publishing Inc. (doing business as Katusa Research) for investor relations and marketing services through June 30, 2027, for a one-time fee of US$1.4 million, payable in three tranches and subject to TSXV approval, with no securities issued as compensation.
What changes at Cortez Summit — and what doesn't
Operationally, nothing changes on the ground: after the arrangement, Carlin Gold says it will continue to focus on advancing Cortez Summit, which it owns outright along with the Ivy copper-gold project in Nevada's Contact Mining District and the Willow gold property in Elko County. What changes is the property's royalty burden and who holds it. Today Cortez Summit carries no such royalty in favour of a separate company; after the pre-closing grant, a 5.0% NSR on any future production will sit inside Spinco, a separate company whose shares Carlin's current shareholders will hold directly. A 5% NSR is a substantial royalty by industry standards — it is a real encumbrance on the project's future economics, deliberately created here so shareholders hold the royalty stream separately from the operating explorer.
The honesty box
This is a proposed arrangement, not a completed one: it still needs the 66⅔% shareholder vote on November 30, TSXV approval and BC Supreme Court approval, and the January 2027 timing is an anticipation, not a date certain. The royalty grant and the Yukon royalty assignment happen inside the arrangement, between related parties, on terms set by the same board — no arm's-length buyer paid anything for the 5% NSR, and no value for it has been established by a market transaction. Spinco shares will be unlisted at completion, so shareholders will receive shares they cannot immediately sell on an exchange. The release contains no drill results, no resource estimate and no economic study for Cortez Summit — the property is exploration-stage, and a royalty on a project with no defined resource may never pay anything. Full details are to come in the management information circular for the November 30 meeting.
What to watch
The information circular, the November 30 vote, TSXV and court approvals, and whether the January 2027 effective time holds — plus any first disclosure of how the market values the unlisted Spinco shares once they are in shareholders' hands.
